MILAN, Italy, August 4, 2026Bending Spoons S.p.A. has entered into a definitive agreement to acquire Airtable in an all-cash transaction that values the enterprise software company at an enterprise value of $1.285 billion. When Airtable's current net cash and cash equivalents are included, the transaction implies an equity value of approximately $2.25 billion. The acquisition has been unanimously approved by the boards of directors of both companies and remains subject to regulatory approvals and other closing requirements. The companies expect the transaction to close later this year, while Bending Spoons and Airtable will continue operating independently until the deal is finalized.

The proposed acquisition represents Bending Spoons' first announced transaction since completing its Nasdaq listing on July 1, 2026, marking another milestone in the company's acquisition strategy. By adding Airtable to its portfolio, Bending Spoons expands its presence in enterprise software with a company that has established a significant global customer base and recurring subscription business. The agreement also reflects ongoing consolidation within the software sector, where companies with established enterprise platforms and recurring revenue continue to attract strategic buyers.

Expanding an Acquisition Portfolio

The Airtable transaction follows a series of acquisitions completed by Bending Spoons over the past several years. Earlier in 2026, the company acquired AOL in January and Eventbrite in March, adding to a portfolio that already includes Brightcove, Evernote, Harvest, komoot, Remini, StreamYard, Vimeo, and WeTransfer. As of March 2026, Bending Spoons reported serving more than 500 million monthly active users and over 9 million monthly paying customers across its portfolio of applications and digital platforms.

Bending Spoons has built its business around acquiring established digital companies and investing in product development, technology, organizational restructuring, user experience, marketing, and monetization initiatives designed to expand long-term earnings. According to the company, it has executed this acquisition strategy for more than a decade and has never sold a material business. It also stated that artificial intelligence plays an important role in both its long-term vision for acquired businesses and the technologies it develops across its portfolio.

He added that Bending Spoons intends to strengthen Airtable’s flexible workspace capabilities and deliver greater value to organizations of every size. Airtable co-founder and CEO Howie Liu said the partnership will provide the resources and long-term commitment needed to continue pursuing the company’s original vision of enabling anyone to create software while accelerating development of its AI-native platform.

Transaction Structure and Advisors

Under the terms of the agreement, unanimously approved by the boards of directors of both companies, Bending Spoons will acquire 100% of Airtable’s issued and outstanding shares through an all-cash transaction. Completion of the acquisition remains subject to regulatory approvals and other customary closing requirements, and both companies will continue conducting business independently until the transaction is completed. The proposed deal expands Bending Spoons’ enterprise software portfolio with one of the world’s largest no-code application platforms while adding another globally recognized technology brand to its collection of digital businesses.

Several advisory firms are supporting the transaction. Willkie Farr & Gallagher LLP is serving as legal counsel to Bending Spoons, while EY Advisory S.p.A. is providing financial and tax due diligence services. Goldman Sachs Bank Europe SE, Succursale Italia, and J.P. Morgan are acting as co-financial advisors to Bending Spoons. Airtable is being advised by Latham & Watkins LLP as legal counsel, with AXOM Partners LLC serving as its financial advisor. If completed, the acquisition will further expand Bending Spoons’ portfolio following its public market debut and add one of the world's most widely adopted enterprise collaboration platforms to its digital business portfolio.
